Terms & Conditions

Please read these terms before using browse.nz. By using our platform you agree to be bound by them.

1. Acceptance of Terms

These Terms & Conditions ("Terms") form a legally binding agreement between you ("you", "your", "the Customer") and Podium Software Limited ("we", "us", "our"), the company that operates browse.nz. By submitting an enquiry, signing up for a plan, or using any part of the browse.nz platform, you confirm that you have read, understood, and agree to these Terms.

If you are agreeing on behalf of a business, you confirm that you have authority to bind that business to these Terms.

2. Services

browse.nz provides hosted e-commerce storefronts designed for New Zealand small businesses. Services vary by plan and may include store setup, product catalogue configuration, platform hosting, software maintenance, and email support. A description of each plan's inclusions is available on our Pricing page.

We reserve the right to update, improve, or modify the platform at any time. We will not remove core functionality without reasonable notice.

3. Pricing & Payment

All prices are in New Zealand Dollars (NZD) and are exclusive of GST unless stated otherwise. GST at the applicable rate will be added for New Zealand-based customers.

  • Free trial. New stores receive a 14-day free trial with full access to the platform. No payment is taken during this period and no card details are required.
  • Starter plan setup fee. If you do not cancel during your trial, the $499 +GST Starter setup fee is invoiced automatically at the end of your 14-day trial. Payment is due within 7 days of the invoice date by bank transfer.
  • Full Setup plan setup fee. The $1,299 +GST Full Setup fee is invoiced when we begin building your store at your request — not automatically at the end of the trial. Payment is due within 7 days of the invoice date by bank transfer.
  • Monthly hosting fees begin once your applicable setup fee is invoiced, and are invoiced separately by bank transfer.
  • Payment method. We do not collect or hold card details to bill you for setup or hosting fees. Stripe is used only to process payments from your customers through your own store, and is unrelated to fees you pay us.
  • Non-payment. If an invoice is not paid within its 7-day due date, we may suspend access to your store after reasonable email reminders. We will not delete your data without further notice — see Cancellation below.
  • Business details. You agree to complete your business and billing details in your store settings within your 14-day trial period, so that invoicing can proceed without delay.
  • Fees may be updated from time to time. We will provide at least 30 days' notice of any price increase.

4. Fair Use Policy

Fair Use Limits by Plan

browse.nz is designed for small business use. Each plan includes a fair use allowance for active products and monthly orders. These limits ensure consistent performance for all customers on the platform.

"Orders" means completed customer orders placed through your browse.nz store in a calendar month. "Active products" means products currently published and visible on your storefront.

If your store consistently exceeds the limits for your plan, we will contact you by email to discuss a suitable arrangement. We will not suspend or take your store offline without prior notice and a reasonable opportunity to discuss options.

For stores exceeding 1,000 products or 1,000 orders per month, tiered enterprise hosting rates apply based on your specific usage. Please contact us at info@browse.nz to discuss enterprise pricing.

5. Cancellation

You may cancel your subscription at any time by emailing info@browse.nz. Cancellation takes effect at the end of your current billing period — you retain access until then.

Setup fees are non-refundable as they represent completed, bespoke work delivered to you. Monthly fees paid in advance for an unused portion of a billing period are not refunded, except where required by New Zealand consumer law.

Upon cancellation we will retain your data for 30 days, during which time you may request an export. After 30 days your data will be permanently deleted.

6. Your Data & Privacy

Your store content — including products, images, descriptions, and order data — remains your property at all times. We use your data only to deliver and improve the browse.nz platform.

We handle personal data in accordance with the New Zealand Privacy Act 2020. We do not sell your data or your customers' data to third parties.

Stripe processes all payment transactions. Cardholder data is held by Stripe and is subject to their privacy policy and PCI DSS compliance. We do not store card details.

7. Intellectual Property

The browse.nz platform, including its code, design, and branding, is the intellectual property of Podium Software Limited. These Terms do not transfer any ownership of the platform to you.

You retain all intellectual property rights in the content you upload to your store, including product images, descriptions, and your business logo.

8. Uptime & Service Availability

We take reasonable steps to maintain a reliable, high-availability service. However, we cannot guarantee uninterrupted access. Scheduled maintenance will be communicated in advance where practicable. We are not liable for losses arising from unplanned downtime beyond our reasonable control.

9. Limitation of Liability

To the maximum extent permitted by New Zealand law, our total liability for any claim arising from the use of browse.nz is limited to the fees you have paid to us in the three calendar months immediately prior to the event giving rise to the claim.

We are not liable for indirect, incidental, or consequential losses, including lost revenue, lost profits, or loss of data.

Nothing in these Terms limits liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be excluded by law.

10. Changes to These Terms

We may update these Terms from time to time to reflect changes in our services, pricing, or legal requirements. When we make material changes we will:

  • Send you an email notification to the address registered on your account at least 14 days before the changes take effect.
  • Update the effective date at the top of this page.

Your continued use of browse.nz after the effective date of updated Terms constitutes your acceptance of those changes. If you do not agree to the updated Terms, you may cancel your subscription before the effective date and we will not hold you to the new terms.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of New Zealand. Any dispute arising from these Terms will be subject to the exclusive jurisdiction of the courts of New Zealand.
